These Terms of Service ("Terms") govern your use of Coder IDE, its documentation, and related services (collectively, "Coder" or the "Software"), published by DevShed Labs LLC ("we", "us", or "our"). By downloading, installing, or using Coder, you agree to these Terms. If you do not agree, do not use the Software.

1. License

We grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use Coder for your personal or internal business purposes, subject to these Terms and any applicable license tier you purchase. You may not:

  • Resell, sublicense, or redistribute the Software, in whole or in part, unless expressly permitted by a separate written agreement.
  • Reverse engineer, decompile, or attempt to derive the source code of the Software, except to the extent permitted by law.
  • Use the Software to build a competing product or to scrape, mine, or otherwise extract data from it.
  • Remove or alter any copyright, trademark, or proprietary notices.

2. AI Services Are User-Controlled

Coder is bring-your-own-key (BYOK). You connect the Software to model providers you choose, and you are responsible for your own API keys, credentials, and accounts. Usage of those providers is governed by their terms, not ours, and you are responsible for any costs they incur. We are not a party to your provider agreements and cannot control, guarantee, or be responsible for provider availability, output quality, or billing.

AI-generated output may be inaccurate, incomplete, or unsuitable for your purposes. You are solely responsible for reviewing, testing, and validating any code or content the Software produces before using it, and for the consequences of using that output.

3. Your Content

You retain all rights to the code, files, and data you work with in Coder ("Your Content"). The Software is designed to keep Your Content on your own machine: sessions, memories, token logs, and reports are stored locally and are not uploaded to us. We do not claim ownership of Your Content and do not sell, rent, or share it.

If you choose to share Your Content with third-party model providers through the Software, you do so at your own discretion and under those providers' terms.

4. Acceptable Use

You agree not to use Coder to:

  • Violate any applicable law or regulation.
  • Infringe the intellectual property or other rights of any third party.
  • Generate, distribute, or facilitate malware, phishing, spam, or other harmful software or content.
  • Interfere with, disrupt, or attempt to gain unauthorized access to any system or network.
  • Circumvent any usage limits, licensing restrictions, or security controls.

5. Subscriptions and Payments

Paid features and license tiers are described on our pricing page. Payments are processed by third-party providers, and by purchasing you agree to their terms. Prices and features may change; we will give reasonable notice of changes that affect active subscriptions. Unless otherwise stated, payments are non-refundable except as required by law.

6. Updates and Availability

We may update, modify, or discontinue features of Coder at any time. The Software is provided "as is" and "as available" without any warranty, express or implied — including, without limitation, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability

To the maximum extent permitted by law, DevShed Labs LLC and its affiliates, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of — or inability to use — the Software, even if advised of the possibility of such damages. Our total aggregate liability for all claims arising out of or related to the Software shall not exceed the amount you paid us for the Software in the twelve (12) months preceding the claim, or $100, whichever is greater.

8. Indemnification

You agree to indemnify and hold harmless DevShed Labs LLC and its affiliates, officers, and employees from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Software, your violation of these Terms, or your violation of any rights of a third party.

9. Termination

We may terminate or suspend your access to the Software at any time, with or without cause or notice. Upon termination, your license terminates and you must cease all use of the Software. Provisions of these Terms that by their nature should survive termination — including sections 3, 7, 8, 10, and 11 — will survive.

10. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New York County, New York.

11. Changes to These Terms

We may revise these Terms from time to time. When we do, we will update the effective date above and, for material changes, make reasonable efforts to notify you (for example, through the Software or our website). Continued use of Coder after changes take effect constitutes acceptance of the revised Terms.
