Disclaimer – Terms and Conditions

  1. By ordering and installing a TAL Software product, you acknowledge that you have read this agreement and agree to be fully and legally bound by these Terms & Conditions, and that you accept our Privacy Policy.

  2. The ordering and payment process is conducted by our online reseller, FastSpring, acting as merchant of record.

  3. License grant: Subject to these Terms, TAL Software grants you a non-exclusive, non-transferable license to use the purchased or downloaded product for music production and other audio work. This license does not transfer ownership of the product to you.

  4. You may not share, resell, sublicense, rent, lease, or otherwise redistribute our products, whether modified or unmodified.

  5. You may not use our products as part of a cloud service, hosted service, or networked service made available to third parties.

  6. All products, including free products, may be used for commercial music production without limitation, subject to the restrictions in these Terms.

  7. Delivery Policy: All TAL Software products are delivered as digital downloads. No physical shipping takes place. Upon receipt of your order you will receive an email containing your login details and license key. You can download the products from our product page.

  8. Refund Policy: As a goodwill policy, we offer a full refund within 14 days of purchase, no questions asked. We recommend trying the demo version first to make sure a product is right for you before purchasing. This policy does not reduce any statutory warranty or consumer protection rights you may have under the law of your country of residence.

  9. The TAL Software plug-ins and synth presets are royalty-free and may be used in commercial or non-commercial productions, including music, film scoring, game audio, and other audio productions, without paying additional royalties.

  10. You may not sample, record, copy, or otherwise extract any factory presets or included samples from TAL-Drum, TAL-Sampler, or any other TAL Software sample based product for the purpose of creating, selling, or distributing sample libraries, virtual instruments, or sound packs. This prohibition applies whether the sounds are used individually or as part of any collection or library.

  11. Warranty disclaimer and limitation of liability: TAL Software products are provided "as is" and may not be free of bugs or errors; you use them at your own risk. To the maximum extent permitted by applicable law, TAL Software is not liable for any direct or indirect damages, including but not limited to damaged equipment, hearing damage, lost profits, lost data, business interruption, or other consequential damages arising from the use or inability to use the product. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or willful misconduct, or for any other liability that cannot lawfully be excluded or limited. Subject to the foregoing, where liability cannot be fully excluded by law, TAL Software's total liability shall not exceed the amount you paid for the relevant license.

  12. All products are the intellectual property of TAL Software and all rights not expressly granted to you remain reserved by TAL Software. Unauthorized duplication or distribution may violate applicable copyright and other intellectual property laws and could result in civil or criminal penalties under the law of the relevant jurisdiction.

  13. Term and termination: These Terms remain in effect until terminated by you or by TAL Software. You may terminate them at any time by destroying all copies of the licensed products in your possession. TAL Software may terminate this license immediately if you breach these Terms. Sections relating to intellectual property, warranty disclaimers, and limitation of liability shall survive any termination.

  14. Governing law and jurisdiction: These Terms are governed by the laws of Switzerland, without regard to its conflict-of-law provisions, to the extent permitted by applicable law. If you are a consumer, nothing in this clause deprives you of the protection of any mandatory consumer-protection provisions under the law of your country of residence, including your right, where applicable, to bring proceedings before the courts of that country. Where no mandatory local rule applies, disputes shall be brought before the competent courts at the seat of TAL Software.

  15. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and TAL Software regarding your use of the products.
