Terms of Service
Terms at a Glance
Here are the terms that matter most, up front so nothing important is buried. This summary is for convenience only. The full Terms below are what govern.
- Your content stays yours. We take only the license we need to run the Service, plus a broader one for content you choose to make public.
- Paid plans renew automatically. They continue until you cancel. Charges are non-refundable, apart from three exceptions: where the law requires a refund, where an app store handles it, and where we end your paid plan without cause.
- AI can get things wrong. You are responsible for reviewing outputs before relying on or publishing them.
- Apps you publish are yours to stand behind. You are the publisher for your app's users and their data.
- Disputes go to individual arbitration. Not to court and not as a class action, apart from small claims and a few narrow exceptions, and our liability is capped.
Service Agreement
Acceptance of the Terms of Service
We are excited to have you as a user and member of the community.
Taskade is provided by Taskcade Inc., a Delaware corporation headquartered in San Francisco, California, together with its affiliates ("Taskade," "we," "us," or the "Company"). The following terms and conditions (collectively, these "Terms of Service") are an agreement between you and Taskcade Inc. and apply to your use of www.taskade.com, our apps, and any content, functionality and services offered on or via Taskade (together, the "Website" or the "Service"). If you accept these Terms of Service on behalf of a company or other organization, you represent that you have authority to bind it, and "you" includes that organization.
The Terms of Service also include our Privacy Policy, that you can review here: Privacy Policy.
We want to keep our relationship with you as lean and informal as possible, but please read the Terms of Service carefully before you start using Taskade, because by using the Website you accept and agree to be bound and abide by these Terms of Service.
Should you disagree with some of the provisions herein, you can either leave the Website (although we'll be sad to see you go!), or contact us at [email protected]. We'll be happy to hear your comments and suggestions.
Changes to the Terms of Service and the Website
Taskade is a work in progress, meaning that a lot will change in the near future. We reserve the right to update the Website and these Terms of Service from time to time, at our discretion. We will make sure to announce any major change in a prominent way. Of course, this document is public on Taskade, and you will be able to see the changes for any new version. Your continued use of the Website following the publishing of updated Terms of Service means that you accept and agree to the changes. If a change materially affects your rights, we will email you or notify you in the product before it takes effect, and it applies only going forward, never to a dispute that already exists.
Taskade ships improvements continuously. We may add, change, or retire features (including AI features, models, and integrations) at any time as the product evolves; where a change materially affects paid functionality, we will give reasonable notice where feasible.
AI Features and Processing
The Service includes AI-powered features that process your inputs and workspace content to generate outputs and automate actions. To provide these features, Taskade processes your prompts, app and workflow configurations, project data, and related metadata (together, "AI Inputs") and returns "AI Outputs."
-
License to Process: You grant Taskade a non-exclusive license to process AI Inputs and AI Outputs only to operate, maintain, secure, and improve the Service for your workspace, including reliability, safety, and abuse prevention.
-
Third-Party AI Providers: Taskade routes AI requests to third-party model providers. Which provider handles a given request depends on the model you select and, where you use an automatic model setting, on your plan's default routing, and the set of providers changes as we add and retire models. Providers include OpenAI, Anthropic, Google, and Amazon Web Services, as well as the companies behind the open-weight models we offer, some of which operate outside the United States, including in China. The Privacy Policy explains this and how to obtain the current provider list. Taskade remains responsible for its own performance in delivering the Service, and the Disclaimer and Limitation of Liability sections below govern provider failures.
-
No Training on Customer Content: Taskade does not use your workspace content to train generalized AI models, and our agreements with third-party AI providers prohibit them from using your content to train their general models.
-
Usage Data: We may collect data about how the Service performs and is used, and may use de-identified or aggregated data, data that can no longer identify you, to operate, secure, and improve the Service.
-
Output Ownership: As between you and Taskade, and subject to third-party rights and applicable law, you own your AI Outputs. You are responsible for reviewing outputs for accuracy and suitability before use or publication.
-
Limitations: AI Outputs may be inaccurate, incomplete, biased, or inappropriate for your intended use. You are solely responsible for evaluating, testing, and validating all AI Outputs before relying on them for any purpose. The Service does not provide legal, medical, financial, or other professional advice. AI Outputs should not be considered as professional recommendations or authoritative information.
-
User Responsibility for AI Content: You acknowledge that AI systems can produce unexpected results, including potentially harmful, offensive, or inaccurate content. You agree to review and moderate all AI-generated content before publication or distribution. Taskade is not responsible for the consequences of using AI Outputs without proper review.
Platform Access & Security
Accessing the Website, Security and Privacy
We are working hard on improving Taskade, but we can't guarantee that the Website will be up and running 24/7. As a rapidly growing startup, we continuously deploy improvements and occasionally experience maintenance windows. We also reserve the right to suspend or restrict access to some features to users for security, performance, or legal compliance reasons. We work hard to keep Taskade available, but we do not commit to a specific uptime level unless you have a separate written agreement with us. In any case, we will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period, nor for any data loss (see the Disclaimer of Warranties and Limitations of Liability sections below).
To access certain features of the Website you have to register by entering your email and choosing a password as part of our security procedures. You must treat such information as confidential, not disclosing it to any third party and only using Taskade in person. There is a password reset procedure in case you forget your password, but please notify us of any breach of security. We highly recommend to choose a strong password (e.g. “kjSA&*-_Y@#Ba”) and that you log out from your account at the end of every session.
It is a condition of your use of the Website that all the information you provide on the Website is correct, current and complete. You must be at least 18 years old and have the legal capacity to enter into agreements to use Taskade. In the future, you may be asked to provide certain registration details or other information. As custom for internet websites, we reserve the right to disable any user account, at any time in our sole discretion for any or no reason, including, if in our opinion you have failed to comply with any provision of these Terms of Service.
Data Backup Responsibility: While we implement robust backup systems, you are responsible for maintaining your own backups of important data. We recommend regularly exporting critical information from your workspaces.
We use SSL encrypted browsing for all logged-in users, but we cannot guarantee that all use will be secure. We also do not guarantee that the Website or any content provided on the Website is error free. We manage your personal data according to our Privacy Policy.
Content & Applications
Published Apps and End-User Data
When you publish or share apps built with the Service that collect end-user data, you act as the data controller for that data. You must:
-
Provide a legally compliant privacy notice and obtain any required consent from end users.
-
Configure app access, roles, and retention according to your obligations.
-
Avoid collecting sensitive data unless you have a lawful basis and appropriate safeguards. Taskade processes end‑user data as your processor to provide the Service. A Data Processing Addendum and Standard Contractual Clauses are available upon request.
If your published app lets end users create accounts or sign in, those accounts belong to your app, not to Taskade: your end users are your customers, your terms and privacy notice govern them, and you are responsible for handling their access, correction, and deletion requests. End users of your apps do not become Taskade customers by using your app.
Published Applications and User-Created Content
When you create and publish applications using the Service, additional responsibilities and limitations apply:
-
App Publisher Responsibility: You are solely responsible for the functionality, content, legal compliance, and consequences of any applications you create and publish. This includes ensuring your app complies with applicable laws, regulations, and third-party terms of service.
-
End-User Interactions: You are responsible for all interactions between your published applications and their end-users, including support, refunds, disputes, and legal compliance. Taskade is not a party to these relationships and assumes no responsibility for them.
-
Content Moderation: You must implement appropriate content moderation and abuse prevention for any user-generated content in your applications. Taskade reserves the right to disable apps that violate these Terms or applicable law.
-
Third-Party Services: If your applications integrate with third-party services, you are responsible for complying with their terms of service and maintaining those relationships. Service interruptions or failures by third parties may affect your app's functionality.
-
Performance Expectations: While we strive for reliable service, published applications may experience downtime, performance issues, or service interruptions. We do not guarantee specific uptime or performance levels for individual apps.
-
Custom Domains: If you connect a custom domain to a published app, you represent that you own or control that domain. We may disconnect a domain used to violate these Terms or applicable law.
-
Your API Keys and Secrets: If you store third-party API keys or other secrets for your apps to use, those credentials and your use of the connected third-party services remain your responsibility and are governed by those services' terms.
-
App Removal: Taskade reserves the right to disable or remove any published application that violates these Terms, infringes third-party rights, poses security risks, or for legal compliance reasons. We will provide reasonable notice where feasible.
Intellectual Property Rights and Use Guidelines
The Website and its original content, features and functionality (including look!), are owned by Taskade and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. The Taskade name, logo, and product marks are trademarks of Taskcade Inc. We love it when you talk about Taskade, but please don't use our marks in ways that suggest endorsement or affiliation without our written permission (brand assets live on our press page). Taskade is about creating, collaborating and modifying projects, not Website, design or code. So you agree to not copy, modify, create derivative works of, publicly display, publicly perform, republish, any of our copyrighted material, except to the extent permitted by the Website itself. If you have doubts about whether and how to use of material on the Website, please address your concerns to: [email protected].
For purposes of these Terms of Service, the term “Content” includes, without limitation, information, data, text, photographs, videos, audio clips, written posts and comments, software, scripts, graphics, and interactive features generated, provided, or otherwise made accessible on or through the Website. For the purposes of these Terms of Service, “Content” also includes all User Content (as defined below).
All Content added, created, uploaded, submitted, distributed, or posted to the Website by users (collectively “User Content”), whether publicly posted or privately transmitted, is the sole responsibility of the person who originated such User Content. You retain ownership of all intellectual property rights in your User Content.
You represent that all User Content provided by you is accurate, complete, up-to-date, and in compliance with all applicable laws, rules and regulations. You acknowledge that all Content, including User Content, accessed by you using the Website is at your own risk and you will be solely responsible for any damage or loss to you or any other party resulting therefrom. We do not guarantee that any Content you access on or through the Website is or will continue to be accurate.
By submitting public User Content through the Website, you hereby do and shall grant us a worldwide, non-exclusive, perpetual, royalty-free, fully paid, sublicensable and transferable license to use, edit, modify, reproduce, distribute, prepare derivative works of, display, perform, and otherwise fully exploit the User Content in connection with the Website and our (and our successors’ and assigns’) businesses, including without limitation for promoting and redistributing part or all of the Website (and derivative works thereof) in any media formats and through any media channels (including, without limitation, third party websites and feeds).
You also hereby do and shall grant each user of the Website a non-exclusive, perpetual license to access your User Content through the Website, and to use, edit, modify, reproduce, distribute, prepare derivative works of, display and perform such User Content.
This user-to-user license, meaning the grant in the paragraph immediately above, covers only content you post publicly on community surfaces. It does not cover paid App Kits or content placed behind a paywall, which are licensed only on the terms the creator sets.
For clarity, the foregoing license grants to us and our users does not affect your other ownership or license rights in your User Content, including the right to grant additional licenses to your User Content, unless otherwise agreed in writing.
You represent and warrant that you have all rights to grant such licenses to us without infringement or violation of any third party rights, including without limitation, any privacy rights, publicity rights, copyrights, trademarks, contract rights, or any other intellectual property or proprietary rights.
We do not guarantee that any Content will be made available on the Website. We reserve the right to, but do not have any obligation to, (i) remove, edit or modify any Content in our sole discretion, at any time, without notice to you and for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such Content or if we are concerned that you may have violated these Terms of Service), or for no reason at all and (ii) to remove or block any Content from the Website.
You are permitted to use the Website for your personal, non-commercial use, or legitimate business purposes, provided that your activities are lawful and in accordance with these Terms of Service. Prohibited uses include violation of laws and regulations, hacking the Website in any manner, or violating the Content Standards set below. No right, title or interest in or to the Website or any content on the site is transferred to you, and all rights not expressly granted are reserved. Any use of the Website not expressly permitted by these Terms of Service is a breach of these Terms of Service and can lead to account termination.
We encourage your feedback, in the form of reviews, comments, and suggestions or recommendations for modifications, improvements or changes to the Services or the Site that you may choose in your sole discretion to provide us from time to time (“Feedback”). When you provide Feedback, you grant us, under all right, title and interest in and to the Feedback, a non-exclusive, royalty-free, worldwide, transferable, sub-licensable, irrevocable, perpetual license to use that Feedback or to incorporate it into the Website or other products or services.
The Website may contain Content specifically provided by us, our partners or our users and such Content is protected by copyrights, trademarks, service marks, patents, trade secrets or other proprietary rights and laws. You shall abide by and maintain all copyright notices, information, and restrictions contained in any Content accessed through the Website.
Content Standards and Legal Disclaimer
Taskade contains user generated content, and also may contain personal web pages, forums or other interactive features that allow you to upload, post, submit, publish, display or transmit to other Users Content on or through the Website. If you submit that data anyway, you do so at your own risk and you are responsible for the consequences.

The Service is not designed or licensed for use in high-risk environments requiring fail-safe performance (such as medical, life-support, aviation, or other safety-critical systems), and you agree not to use it for those purposes.
No Obligation to Monitor: While we may implement safety measures, we have no obligation to actively monitor all user content or applications. Users are primarily responsible for the content they create, share, and publish.
Appeals Process: If your content or account is restricted, you may appeal our decision through our support channels. We will review appeals promptly and fairly. Our decision is final for purposes of our internal process; it does not affect any rights you have under the Dispute Resolution section below or under applicable law.
Repeat Offender Policy: Users who repeatedly violate these Terms may face permanent account suspension and prohibition from creating new accounts.
Legal & Compliance
Law and Copyright Infringement
We do not undertake to review all material before it is posted on the Website, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications or content provided by any user or third party. In the unlikely event we receive a disclosure request from an authorized party, we reserve the right to disclose user identities when required to do so by the law, including in response to a law enforcement request supported by a valid court order. You waive and hold harmless the Company from any claims resulting from any action taken by the Company during or as a result of its investigations and from any actions taken as a consequence of investigations by either the Company or law enforcement authorities.
If you believe that any User Content violate your copyright, please follow the procedure set forth by article 512(c) of the DMCA and provide us a written takedown notice including the following information:
- A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
- Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site.
- Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material.
- Information reasonably sufficient for us to contact you, such as email, address, telephone number.
- A statement that you a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
- A statement that the information in the notification is accurate, and under penalty of perjury, that you is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. The notice should be addressed to [email protected], or via snail mail to DMCA Designated Agent, c/o Taskcade Inc., San Francisco, CA. In appropriate circumstances, we will terminate the accounts of users who are repeat infringers.
Disclaimer of Warranties, Limitations of Liability and Indemnification
Your use of Taskade is at your sole risk. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". We disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement.
Limitation of Liability: To the maximum extent permitted by law, Taskade shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, whether based on warranty, contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.
Third-Party Service Failures: We are not responsible for failures, interruptions, or performance issues caused by third-party services, including but not limited to AI model providers, cloud infrastructure, integration services, or external APIs. Your use of integrated third-party services is subject to their terms and availability.
AI System Limitations: AI systems may produce unpredictable results, experience service interruptions, or undergo model updates that affect functionality. We disclaim responsibility for AI-related service disruptions, output quality variations, or conflicts between different AI model responses.
Maximum Liability Cap: In no event shall Taskade's total liability to you exceed the greater of (a) the amount you paid to Taskade in the twelve (12) months immediately preceding the event giving rise to the claim, and (b) one hundred U.S. dollars ($100). These limits apply in the aggregate across all claims, and they do not limit your payment or indemnification obligations. Nothing here limits liability for fraud, gross negligence, willful misconduct, or anything else the law does not allow us to limit.
You agree to defend, indemnify, and hold harmless Taskade and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including attorneys' fees) arising from:
(a) your use of the Service;
(b) your violation of these Terms;
(c) your violation of any third-party rights;
(d) any content you submit through the Service;
(e) any applications you create or publish; and
(f) any end-user interactions with your published applications. We will tell you promptly about any claim we want indemnified, and we may take over its defense with counsel of our choice at your expense; you may not settle anything that admits fault for us or costs us money without our written consent. You acknowledge that you have only a limited, non-exclusive, nontransferable license to use the Website. Because the Website is not error or bug free, you agree that you will use it carefully and avoid using it in ways which might result in any loss of your or any third party's property or information.
AI System Disclaimers and Limitations
No Warranty on AI Outputs: AI systems are experimental, unpredictable, and may produce inaccurate, biased, harmful, or inappropriate content. Taskade provides AI features "as-is" with NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AI outputs may violate laws, infringe rights, or cause harm.
User Responsibility for AI Content: You are SOLELY AND EXCLUSIVELY responsible for reviewing, validating, moderating, and taking full legal responsibility for all AI-generated content before any use, publication, or distribution. You assume all risks associated with AI outputs.
Third-Party AI Dependencies: AI functionality entirely depends on third-party providers over whom we have no control. Service interruptions, model changes, policy changes, or provider terminations may affect or eliminate functionality without any notice or compensation.
Regulatory Compliance: You acknowledge AI technology is subject to rapidly evolving and unpredictable regulations. We may restrict, modify, or discontinue AI features at any time without notice to comply with laws, regulations, or provider requirements. You are solely responsible for ensuring your use complies with all applicable laws.
Service Terms & Limitations
Beta and Experimental Features
From time to time, Taskade may offer beta or experimental features. These are provided "as is," may be subject to additional logging for reliability and abuse prevention, and may change or be discontinued at any time.
Service Limits and Fair Use
To ensure reliability and security, Taskade may apply usage caps, throughput controls, or rate limits. Taskade may adjust such limits with notice where feasible.
Publicity Rights
(a) The Owner grants Taskade the right to include the Owner's organization as a customer in Product promotional material.
(b) The Owner can deny Taskade this right by submitting a written request via email to [email protected], requesting to be excluded from Product promotional material.
(c) Should the Owner come to be or already be included in Product promotional material as a result of any prior purchases where the Owner did not request exclusion from Product promotional material, the Owner can, at any point in time, submit a written request via email to [email protected] to have Taskade remove the Owner's organization name from Product promotional material. Upon receipt of such request, Taskade will remove any reference to the organization from such promotional material within 30 days and make no further reference to it.
Geographic Availability
Taskade operates globally. Features and availability may vary by region. You are responsible for compliance with local laws applicable to your use of the Service.
Export Compliance and Regulatory Framework
Export Controls: You represent that you are not restricted from using the Service under applicable export control or sanctions laws and that you will not use the Service in violation of such laws. You acknowledge that AI technology may be subject to export restrictions and agree not to access or use the Service from prohibited jurisdictions.
Evolving AI Regulations: You acknowledge that AI technology is subject to rapidly evolving regulatory requirements across jurisdictions. We may modify, restrict, or discontinue AI features to comply with new regulations. We are not responsible for ensuring your use of AI features complies with all applicable laws in your jurisdiction.
Compliance Responsibility: You are solely responsible for ensuring your use of the Service, including applications you create, complies with all applicable laws, regulations, industry standards, and professional requirements in your jurisdiction and any jurisdiction where you operate or provide services.
Regulatory Changes: We reserve the right to modify or discontinue features, impose additional restrictions, or require additional user compliance measures in response to legal or regulatory developments. Continued use of the Service following such changes constitutes acceptance of the modifications.
Confidentiality
Each party will protect the other party's Confidential Information with reasonable care and use it only to provide or receive the Service. Confidential Information excludes information that is public, independently developed, or lawfully obtained from a third party.
Paid Accounts
You can upgrade to access premium features by converting your account into a "Paid Account." The price, billing interval, and what is included are shown at checkout before you pay. By starting a Paid Account you authorize us to charge your payment method for that amount (plus applicable taxes) at the start of each billing period, automatically, until you cancel. Payments are processed by our payment processor, Stripe, your full card details go to Stripe, not to our servers. If you subscribe through our iOS or Android apps, that purchase is processed by Apple's App Store or Google Play under their payment terms, and those stores' billing and refund processes apply to it. We may change plan prices or credit consumption rates from time to time; pricing changes take effect at your next billing cycle after we notify you, never mid-cycle.
Many of Taskade's Premium Plans include a specified number of collaborators and workspace member seats bundled into the price, so you will be billed a fixed amount each billing cycle.
For per-seat plans, your account balance will be automatically updated if you add or remove collaborators or workspace member seats. In such cases, automatic billing will apply for the additional seats. You are responsible for all applicable taxes, and we will charge tax when required by law.
AI Credits: Some features consume AI credits. Credits are a consumable unit of use, not money: they have no cash value, are non-transferable, and are non-refundable once purchased, subject to the Refunds section below. Plan credit allocations and the rates at which features consume credits may change as models and features evolve. If you enable auto top-up, you authorize us to automatically charge your payment method for the top-up amount you configured whenever your balance runs low; you can turn auto top-up off at any time in Settings.
Paid App Kits: Some app kits created by other users are offered for a one-time price. Kit purchases are processed by Stripe and are covered by the Refunds section below. Kits are sold by their creators; we run the payment rail and take our platform fee, and we are not a party to the deal between you and a creator. Buying a kit gives you a personal, non-transferable licence to use and modify it in your own apps. You may not resell or redistribute the kit itself. Creators are responsible for their own taxes and for holding the rights to everything in a kit. Taskade does not review or warrant creator content, and we may remove kits that violate these Terms.
Refunds: Payments are final. Except as set out below, all charges are non-refundable. This includes subscription fees, renewal charges, seat charges, AI credit purchases, and paid App Kit purchases, and we do not issue refunds or credits for partial billing periods, unused AI credits, or unused seats. There are three exceptions, and they are the only ones: (a) where a refund is required by applicable law, including consumer rights you cannot waive; (b) where you purchased through the App Store or Google Play, in which case that store's refund process applies to that purchase; and (c) where we terminate your paid plan without cause, in which case the pro-rata refund described under Termination of Accounts below applies.
Chargebacks: If you believe a charge is wrong, please contact us first at [email protected], we can resolve genuine errors faster than a card dispute can. If a chargeback is filed on a charge you authorized, we may suspend the account until the balance is settled, and any fees the card network charges us become part of what is owed.
Cancellation: You can cancel at any time from Settings → Billing. If you subscribed through the App Store or Google Play, cancel and request refunds through that store, which we cannot process on our side. Cancellation stops all future charges. Your Paid Account stays active for the remainder of the billing period you have already paid for, and reverts to the Free plan at the end of that period. Cancelling does not retroactively refund a charge that has already been made.
Billing errors: If you believe a charge was made in error, contact us at [email protected] within 30 days of the charge with your receipt, account email, and charge date. We will review the charge and correct any error on our side. This billing-error review is not a refund period and does not create a right to a refund for charges that were correctly made.
Termination of Accounts
You're free to stop using our Services at any time. We also reserve the right to suspend or end the Services at our discretion. For violations of these Terms, we will typically provide notice and an opportunity to remedy the issue where feasible, though we may suspend access immediately for serious violations, security threats, or legal compliance. We may terminate service for non-payment, prolonged inactivity, or if you use the Services in a manner that would cause us legal liability, disrupt the Services, or disrupt others' use of the Services.
If we end a paid plan without cause, we will refund the unused portion of what you have already paid, pro rata. This is the exception (c) referred to in the Refunds section above. If we end it because these Terms were broken, no refund is due, and unused AI credits are not refunded in either case.
After termination or account deletion, we may delete your content and have no obligation to retain it, so export anything you need before closing your account.
Force Majeure and External Factors
Taskade shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to:
- Natural disasters, pandemics, or other acts of God
- Government actions, laws, regulations, or sanctions affecting technology or AI
- Internet infrastructure failures, cyberattacks, or data breaches
- Third-party service provider outages, including AI model providers, cloud infrastructure, or API integrations
- Labor disputes or workforce shortages
- Supply chain disruptions affecting our technology services During such events, we will use commercially reasonable efforts to restore normal service operations. Performance obligations will be suspended for the duration of the force majeure event.
Governing Law and Jurisdiction
These Terms of Service and any dispute or claim arising out of, or related to them, shall be governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule.
Subject to the Dispute Resolution and Arbitration section below, any legal suit, action or proceeding that is not arbitrated (small claims, requests for injunctive relief, or claims where the class waiver is held unenforceable) shall be instituted exclusively in the state or federal courts located in Delaware, and both parties consent to jurisdiction there.
Dispute Resolution and Arbitration
We hope to resolve any disagreements amicably. However, should we need a formal process, this section outlines how disputes will be handled.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

Before starting a formal proceeding, you agree to first send a written description of the dispute to [email protected] and give us 30 days to work with you toward a resolution. Most issues get resolved this way, quickly and for free.
Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that we cannot resolve informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court, except that you may assert claims in small claims court if your claims qualify. If 25 or more similar arbitration demands are filed against Taskade by the same or coordinated counsel, the parties agree the AAA may resolve them in batches so filings proceed efficiently and fairly. Either party may also ask a court for injunctive or other equitable relief to protect its intellectual property or confidential information. That narrow path stays open alongside arbitration.
Class Action Waiver
YOU AND TASKADE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. If this waiver is found unenforceable for a particular claim, that claim (and only that claim) may proceed in court, and the rest remain in arbitration.
Jury Trial Waiver
YOU AND TASKADE WAIVE ANY RIGHT TO A JURY TRIAL.
Waiver, Severability, and General Terms
Our failure to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and Taskade and govern your use of the service, superseding any prior agreements (including, but not limited to, any prior versions of the Terms of Service). If any provision of these Terms of Service is held by a court of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Service will continue in full force and effect.
Order of Precedence: If you have signed a separate agreement with us (an enterprise agreement, order form, or Data Processing Addendum), that signed agreement controls wherever it conflicts with these Terms, for the services it covers.
Consumer Rights: If you are a consumer in the EU, UK, or anywhere whose law gives you rights you cannot waive, those rights still apply and nothing here limits them.
Electronic Agreements: You agree we can do business electronically, these Terms, notices, and receipts can be delivered electronically and are legally binding.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
Notices: We may provide notices to you by email to the address associated with your account or inside the product; notices are deemed received when sent.
Relationship of the Parties: These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Taskade, and apart from the Taskade people covered by the indemnification section, plus Apple and Google (third-party beneficiaries of these Terms for purchases made through their stores), no one else has rights under these Terms.
Time to Bring Claims: Except where prohibited by applicable law, any claim arising out of or relating to these Terms or the Service must be filed within one (1) year after the claim accrued, or it is permanently barred. This does not apply to our claims for unpaid fees, to either party's claims for infringement or misuse of intellectual property, or where your local law does not allow it.
Survival: Sections that by their nature should survive termination, including licenses to User Content, payment obligations, disclaimers, limitations of liability, indemnification, and dispute resolution, survive any termination of these Terms.
Modification of the Terms
We may revise these Terms from time to time, and will always post the most current version on our website with a new "Last Updated" date. If a revision meaningfully reduces your rights, we will notify you by email to the address associated with your account or in the product before it takes effect. Revisions apply only going forward, and changes to the Dispute Resolution section do not apply to any dispute we already had notice of. By continuing to use or access the Services after the revisions come into effect, you agree to be bound by the revised Terms.
